Makerkeep Terms and Conditions

These Terms and Conditions govern Makerkeep and its related shared-workspace and support services, provided by NIXA Inc., a corporation incorporated in North Carolina, United States ('NIXA', 'we', or 'us'). 'You' means the individual using Makerkeep and, when acting for a business with authority, that business. Review these terms before creating an account or buying a subscription. By creating an account or expressly accepting these terms at purchase, you agree to them. The Privacy Policy explains information handling; these terms do not waive privacy rights or grant permission for unrelated processing.
For a Makerkeep app obtained from Apple's App Store, Apple's Standard Licensed Application End User License Agreement applies to the app license unless a separate custom EULA is expressly supplied through the App Store. These terms govern NIXA's service relationship and do not replace Apple's purchase terms, usage rules, or mandatory consumer protections. The Privacy Policy limits NIXA's collection and use of technical information, including where the Standard EULA permits broader collection.
2. Eligibility and authorized business use
You must be at least 18 and meet the age of majority and contractual-capacity requirements where you live. If you use Makerkeep for a business, you must have authority to bind that business and upload its records. Keep account information accurate, protect passwords and recovery codes, and tell support if you suspect unauthorized access. Do not share an individual's sign-in credentials; invite authorized team members instead. A Makerkeep account is required on every platform, including during a free trial. Public app access requires a valid paid entitlement or an eligible trial; there is no permanent free plan. Private development builds may be uncharged and do not establish a public free plan.
You are responsible for determining who can access your workspace and for the instructions your authorized members give the service. Owners manage members and ownership; editors change business records; viewers can read the workspace's financial information. Removing access does not recall records already exported. NIXA may require proportionate verification before changing access or responding to a data request.
Each account is for one person. One active sign-in is allowed for each supported platform category, currently iPhone, iPad, computer, Android phone and Android tablet. Computer browsers share the computer category. When another device occupies the category, you must confirm switching; the earlier session is signed out on its next online request. Offline copies and exported files cannot be recalled. These controls administer sessions and discourage credential sharing; they do not verify the physical device or identity of the person holding credentials. Invite staff through individual accounts and workspace roles. Any staff-seat price and allowance must be disclosed before purchase; account sharing does not substitute for a seat.
3. What Makerkeep does
Makerkeep helps production-based businesses organize products, recipes, materials, inventory, production, sales, costs, budgets, product-mix scenarios, and cash-flow forecasts. Available features are those described in the version and subscription offer you use. A forecast is an estimate based on inputs, coverage, timing, and assumptions, not a promise of demand, profit, cash availability, or inventory accuracy. Missing entries are not confirmed zero activity.
Makerkeep does not operate your shop, place purchases, set your prices, execute promotions, or sell your products merely because it displays an insight. You review the relevant inputs and decide what to do. Recording sales, production, refunds, or a stock check affects inventory only as described by that workflow and its confirmation. A refund does not necessarily put a physical item back into usable stock.
This is a planning and record-management service, not a bank, lender, payment processor for your customers, accounting firm, tax adviser, or legal adviser. Reports and calculations do not substitute for professional advice, bookkeeping controls, inventory reconciliation, or legally required accounting/tax records. Confirm important totals, dates, units, costs, and source coverage before making commitments. NIXA does not guarantee improved revenue, savings, or a particular margin.
4. Your records and our limited permission
You retain your rights in your shop records, logos, product descriptions, and other content. You give NIXA only the permission needed to store, process, synchronize, display to your authorized members, export at your request, and support the functions you choose. This permission ends when the applicable content is deleted, except to the extent law requires specific retention. It does not permit sale, advertising use, AI-model training, or use in another NIXA product.
Submit only information you are entitled to use and share, and obtain any permissions required from employees, customers, or others. Avoid unnecessary personal or sensitive information. Do not submit full payment-card numbers, bank passwords, government identifiers, health records, or secrets in ordinary notes or support messages. You are responsible for records you export or share outside Makerkeep. NIXA does not acquire ownership of your business data.
5. Local storage, synchronization, and backups
Device-only stores and unsent drafts are scoped to the signed-in account on that app installation or browser. You choose whether to turn on private cloud storage or work in a shared workspace. Cloud storage synchronizes saved records across supported signed-in devices while Makerkeep is open and online. It does not promise continuous background execution, instantaneous uploads, recovery of unsaved forms, or a history of every past version. Check the displayed save/sync status before relying on a change. Offline edits, conflicts, expired sessions and interrupted uploads may require review. Keep separate store-file backups for accidental changes and device-loss protection when cloud storage is off. After an online sign-in, the installed app can reopen its saved store offline. An issued offline editing allowance lasts at most seven days and ends earlier if the recorded trial or paid-through period ends. Reading and exporting saved records remains available after that allowance expires. Reconnect to verify and renew access; date rollback, device changes or revoked access may require signing in again. Offline access cannot extend a trial, create paid access or restore a revoked online session. Device changes and revocations take effect when the offline device next checks the service; they cannot instantly erase device-held copies.
A .makerkeep file exports the complete saved workspace and can restore it in Makerkeep on a supported device. It excludes account credentials, billing entitlement, staff access, connection tokens and support threads. Its integrity checksum detects corruption; the custom extension does not encrypt or prevent inspection by someone with the file. Merge retains identical records once and adds missing records only when the combined data validates. Conflicting saved versions are not automatically reconciled. Replacement changes the whole current workspace and, when synced, affects its other devices or members. Review the preview and keep the prior copy before confirming. Restoring a file does not renew a trial, transfer a subscription, or reinstate erased account access.
Exporting a backup is your choice, not permission for NIXA to retain your deleted data. Do not treat an estimate or an unconfirmed local edit as an authoritative business record. NIXA will handle service records and deletion according to the Privacy Policy, including the limits on legally required retention. A deleted workspace cannot be restored by ordinary account recovery.
6. Subscriptions, trials, and pricing
Makerkeep’s public free trial is 14 days for an eligible account. The account-service trial starts when the account is created and does not restart when you change devices, restore a backup, or reinstall the app. You are not charged automatically merely because that account-service trial ends. An auto-renewing App Store offer, if explicitly purchased, follows the separately displayed Apple offer and renewal terms. After account-service trial expiry without a verified paid entitlement, new business changes require a subscription; access to read/export existing records, support, privacy controls and account deletion remains available. There is no permanent free editing plan. Private development builds are uncharged test access.
If a paid subscription is offered, the purchase screen identifies its price, currency, billing period, included features, trial duration and eligibility, taxes where applicable, and renewal/cancellation terms before you authorize payment. A proposed price in a prototype or marketing discussion is not a charge. You are not billed solely because you create an account, enter records, or use an uncharged test build.
App Store purchases are charged to your Apple account under Apple's terms. An auto-renewing subscription renews at the displayed rate unless you cancel through Apple. When a free trial converts to a paid subscription, the purchase screen and Apple confirmation disclose the timing and charge. Follow Apple's cancellation deadline shown for your offer, normally at least 24 hours before the current period ends, to avoid renewal. Trial availability may be limited by Apple or the offer. No advertising is shown to trial or paid users.
Manage or cancel an Apple subscription in your Apple account subscription settings. Cancellation normally leaves access through the paid period, except where the displayed offer or law provides otherwise. Deleting an app, shop, or Makerkeep account does not itself cancel Apple's billing. Account deletion is available immediately even if a subscription remains active; you do not have to wait for it to expire. Restore eligible purchases using the supported Apple-account restore flow when that purchase feature is offered.
Apple handles App Store refund requests under its policies and applicable law. Request an Apple refund through reportaproblem.apple.com or contact Apple Support. NIXA can help identify a service issue but cannot promise to reverse a charge controlled by Apple. For any separately offered NIXA-billed purchase, that offer must identify its processor and specific cancellation/refund conditions. These terms do not authorize a web checkout or payment route that is not actually offered. Mandatory refund and consumer rights always apply.
We disclose subscription changes and any required renewal-price consent before they affect you. We do not retroactively increase the price of a period already paid. If service is materially unavailable or not supplied as promised, contact support; any remedy depends on the purchase provider and your non-waivable rights. We do not charge for features that have only been described as planned.
7. Optional platforms and external services
Makerkeep is platform agnostic. Imports and optional sales-platform connections depend on the formats, permissions, availability, and rules of the relevant provider. A platform can change an API, limit access, revoke authorization, delay data, or omit information. Review imported records and resolve duplicates or incomplete coverage before accepting them. Disconnecting a provider is distinct from deleting accepted workspace records.
You authorize a connection only through its explicit connection flow. NIXA does not receive authority to change your listings, contact your customers, or transact merely from reading sales. External websites and platforms have their own terms and policies. NIXA is not affiliated with or endorsed by a sales platform unless explicitly stated. Apple is not a party to this service agreement and does not provide Makerkeep customer support.
8. Responsible use
Do not use the service for unlawful purposes, infringe others' rights, upload malicious code, impersonate someone, expose other members' private records without authority, or send abusive or illegal content to support. Do not bypass authentication, membership, purchase, rate-limit, or security controls; access another shop without permission; or disrupt the service. Security research authorized in writing and rights permitted by applicable law are not prohibited by this paragraph.
NIXA's software, brand, original interface, and documentation remain NIXA's or its licensors' property. Your right to use them is limited to the authorized service and applicable app license. You may not resell access or misrepresent ownership of the app. Open-source components remain governed by their applicable licenses; these terms do not restrict rights those licenses or mandatory law grant you.
9. Support, availability, and service changes
Contact [email protected] or use Help & support for Makerkeep questions. Do not send passwords, recovery codes, or unnecessary buyer information. Support-message access is limited to the customer and authorized support personnel. A request is not submitted merely because you save a draft. No guaranteed response time or service-level agreement is offered unless separately agreed in writing.
We maintain the service but cannot guarantee continuous connectivity or uninterrupted operation. Maintenance, provider outages, and events outside reasonable control may affect access. We may change the service for security, compatibility, or product improvements. We give reasonable notice of material changes affecting paid functionality where practicable and provide any remedy required by law. We do not silently use your records for a new unrelated purpose.
10. Suspension, stopping use, and deletion
You may stop using Makerkeep, cancel renewal through the purchase provider, and initiate account or workspace deletion through the app. Export records you need before deletion. Sole owners can transfer a workspace or explicitly delete it as part of account deletion. Jointly owned business workspaces remain under their other owners' instructions; personal-data requests about residual content are handled under the Privacy Policy.
We may restrict access when reasonably necessary to address a serious violation, unauthorized access, a legal obligation, or immediate security risk. Where appropriate and legally permitted, we notify you of the reason and a way to resolve or challenge it. Suspension is not permission to keep data indefinitely. We handle deletion and legally necessary retention under the Privacy Policy. Ending service does not cancel charges managed by Apple or take away statutory refund rights.
11. Warranties, responsibility, and statutory rights
To the extent permitted by law, estimates and the service are supplied as available, without a guarantee that every calculation, third-party record, or forecast is complete or suitable for a particular decision. You remain responsible for validating shop inputs and operational decisions. This does not exclude any warranty or remedy that applicable law does not allow us to exclude, or excuse failure to deliver paid features as promised.
To the extent permitted by law, NIXA is not liable for indirect or consequential loss, such as lost anticipated profit arising from reliance on a forecast. No exclusion applies where prohibited by law, including liability that cannot be excluded for fraud, willful misconduct, gross negligence, personal injury, or a legally protected consumer claim. These terms do not impose a blanket monetary cap, require mandatory arbitration, or waive class proceedings. The app-license terms and applicable law may separately govern the licensed software; mandatory rights prevail in a conflict.
12. Law, disputes, and general terms
North Carolina law governs this NIXA service agreement to the extent permitted by applicable law, excluding conflict-of-law rules. This choice does not remove mandatory protections or required local law applicable in your US state or Canadian province. You may use courts and regulators available under applicable law; these terms do not force a Canadian consumer to bring a protected claim only in North Carolina. Please contact support first if you wish to resolve an issue informally, but contacting us is not a condition on statutory remedies or limitation periods.
Follow applicable export-control and sanctions law when using the software. If a provision cannot lawfully be enforced, it is limited or severed to the necessary extent and the rest remains effective. A failure to enforce a provision is not a permanent waiver. A business transfer does not remove our Privacy Policy commitments or statutory obligations. No third-party-beneficiary right is created by these service terms unless required by the separate applicable app license.
Material changes to these terms are communicated before taking effect, with a revised version/date and renewed agreement where required. Changes do not retroactively rewrite resolved transactions or broaden data-use permissions. For Makerkeep, these product-specific terms take precedence over inconsistent general NIXA service terms; the Privacy Policy governs data handling and mandatory law takes precedence over both.
